Terms of Service — YogaConnect

Attorney Review Notice: This document is a working draft intended to establish the foundational terms of the YogaConnect platform. It should be reviewed and finalized by a licensed attorney before being presented as a binding legal agreement. Do not rely on this document as legal advice.

1. Acceptance of Terms

By accessing or using YogaConnect ("the Platform"), operated by Fuesera LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform.

These Terms apply to all users of the Platform, including yoga studio owners ("Studios") and yoga teachers ("Teachers").

2. Description of Service

YogaConnect is an online marketplace that connects yoga studios seeking substitute teachers with certified yoga teachers seeking teaching opportunities. The Company acts solely as an intermediary and is not a party to any agreement between Studios and Teachers.

The Company does not employ, supervise, direct, or control Teachers. Teachers are independent contractors who offer their services directly to Studios through the Platform.

3. Eligibility

To use the Platform you must:

Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Provide accurate and complete registration information
Comply with all applicable laws and regulations

Teachers must hold valid yoga certifications as represented in their profile. Misrepresentation of credentials is grounds for immediate account termination.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@yogaconnect.com of any unauthorized use of your account.

The Company reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or harm other users of the Platform.

5. Independent Contractor Relationship

Teachers using the Platform are independent contractors, not employees of YogaConnect, Fuesera LLC, or any Studio. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between any parties.

Teachers are solely responsible for their own taxes, insurance, certifications, and compliance with applicable laws governing their teaching activities.

6. Payments and Fees

The Platform facilitates payments between Studios and Teachers through Stripe Connect, a third-party payment processor. By using the payment features of the Platform, you agree to Stripe's Terms of Service.

Studios agree to pay the listed rate for confirmed classes
Payment is held in escrow upon teacher confirmation and released upon class completion
The Company charges a platform fee of 5% on each transaction
Teachers receive their payout after the Studio marks the class as complete

All payment disputes between Studios and Teachers should be directed to hello@yogaconnect.com. The Company will make reasonable efforts to resolve disputes but is not liable for the outcome of any transaction.

7. Cancellation Policy

Cancellations must be communicated through the Platform as soon as possible. The following general guidelines apply, subject to mutual agreement between Studio and Teacher:

Cancellations made more than 24 hours before a class: full refund to Studio
Cancellations made within 24 hours of a class: subject to negotiation between parties
Teacher no-shows: Studio is entitled to a full refund; Teacher account may be subject to review

The Company reserves the right to update this cancellation policy. Specific cancellation terms may be further defined between individual Studios and Teachers at the time of booking.

8. Prohibited Conduct

Users agree not to:

Misrepresent their identity, credentials, or qualifications
Circumvent the Platform to arrange payments outside the system
Post false, misleading, or offensive content
Harass, threaten, or harm other users
Use the Platform for any unlawful purpose
Attempt to reverse engineer, scrape, or interfere with the Platform

9. Limitation of Liability

To the maximum extent permitted by applicable law, Fuesera LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to personal injury, property damage, or financial loss resulting from interactions between Studios and Teachers.

The Company's total liability for any claim arising from these Terms shall not exceed the amount of platform fees paid by the user in the three months preceding the claim.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. The Company does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Changes to Terms

The Company reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
